Terms of Service

1. Agreement

By accessing or using any eSourcingData website or service, you agree to be bound by these Terms of Service. If you are using our services on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

2. Services

eSourcingData provides procurement software (HostAContract and WinAContract), procurement consulting services, and related tools and resources. We reserve the right to modify, suspend or discontinue any service at any time with reasonable notice.

3. Account responsibilities

You are responsible for maintaining the confidentiality of your account credentials, all activity that occurs under your account, and ensuring that your use complies with these terms and applicable law. You must notify us immediately of any unauthorised use of your account.

4. Acceptable use

You may not use our services for any unlawful purpose, to transmit harmful or fraudulent content, to interfere with or disrupt our services, to attempt to gain unauthorised access to any part of our systems, or to resell or sublicense our services without written permission.

5. Intellectual property

All content, software and materials on our websites and platforms are owned by eSourcingData Ltd or our licensors. You may not copy, modify, distribute or create derivative works without our express written consent. You retain ownership of data you input into our platforms.

6. Payment and billing

Paid services are billed in advance on a monthly or annual basis. All fees are exclusive of VAT. Refunds are provided at our discretion. We reserve the right to suspend access for non-payment. Pricing may change with 30 days notice.

7. Data and confidentiality

We treat your procurement data as confidential and will not access it except to provide services or as required by law. We process personal data in accordance with our Privacy Policy. For HostAContract users, all procurement records are retained for 7 years as required under UK public procurement law.

8. Limitation of liability

To the maximum extent permitted by law, eSourcingData shall not be liable for any indirect, incidental, special or consequential damages. Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim. Nothing in these terms limits liability for death, personal injury, fraud or any other liability that cannot be limited by law.

9. Termination

Either party may terminate the service agreement with 30 days written notice. We may terminate immediately for material breach. Upon termination, you may export your data for 30 days. After this period, your data will be deleted in accordance with our Privacy Policy, except where retention is required by law.

10. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
